Position Summary:

 

Reporting to the Senior Vice President - Luxembourg, the Associate will join the Financial Control team, which covers all operational areas including legal and corporate, accounting (managerial and statutory reporting), audit, tax, valuations, treasury and more. Based in Luxembourg, the position provides an exceptional opportunity for individuals looking to make a move into the industry or one already in a role to further develop themselves.

Responsibilities

Major Responsibilities:

 

  • Coordinate quarterly and ad-hoc meetings for SPVs and Funds, including scheduling with internal and external parties.
  • Draft agendas, presentations, and board packs for SPV meetings.
  • Distribute Investment Summaries, NAV reports, and Distribution Lists.
  • Review and circulate reports, agendas, and board packs for Funds in collaboration with servicers.
  • Draft and finalize minutes, ensuring timely review and signature arrangements.
  • Manage and review Fund minutes received from servicers, facilitating internal approvals.
  • Facilitate annual FATCA filings.
  • Draft and process ad hoc legal documents, such as share premium documents, purchase agreements, minutes, and resolutions.
  • Organize drafting of quarterly share premium documentation from various jurisdictions.
  • Draft and process recharge invoices.
  • Sort, scan, file, distribute, and archive received correspondence as needed.
  • Liaise with local authorities for clearance certificates, tax refunds, and other administrative matters.
  • Maintain internal files and maintain updated shareholder registers.
  • Support audits and annual account filings by preparing and managing legal documentation.
  • Schedule meetings and draft necessary resolutions and minutes to meet regulatory deadlines.
  • Review weekly pay run and set up ad hoc wire approvals.
  • Oversee the opening, onboarding, and closing of accounts.
  • Manage internal and external user access for various banking platforms.
  • Coordinate annual KYC reviews with banks.
  • Gather and manage compliance documents for onboardings and new deal pre-approvals.
  • Support KYC, compliance, corporate secretarial, and legal functions for Luxembourg structures during new deals and closings.
  • Coordinate with internal and external stakeholders, including counsel and notaries, to meet closing conditions.
  • Ensure post-closing compliance.
  • Assist with liquidations and dissolutions of Luxembourg and other jurisdictions’ entities.
  • Serve as point of contact for Luxembourg service providers, specifically in Legal, Corporate Secretarial, Compliance, and KYC matters.

Qualifications

Qualifications and Experience:

 

  • Proven experience in corporate governance, compliance, and secretarial roles, preferably in an asset management or financial services environment.
  • Strong knowledge of Luxembourg corporate law and regulatory requirements.
  • Exceptional organizational and multitasking skills with attention to detail.
  • Ability to handle sensitive information with discretion and professionalism.
  • Excellent communication and interpersonal skills, fluency in English is a must. Any other language is a plus but not mandatory.
  • Basic accounting/Tax/VAT knowledge would be an asset.

 

Compensation:

 

The average salary for this role €70,000- €80,000 in base pay and is exclusive of any bonuses or benefits. The base pay offered will be determined based on your experience, location, skills, training, certifications and education, and in addition we will also consider internal equity and market data.
